Terms and Conditions for Carestream 24

Welcome to Carestream 24, a shift management platform operated by Carestream 24 Inc. ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our mobile applications (iOS and Android), website, and related services (collectively, the "App"). The App enables healthcare professionals to find and apply for available shifts in care homes, hospitals, and other healthcare facilities in Canada, submit timesheets, verify on-site presence, and manage payments.
By accessing or using the App, you agree to be bound by these Terms. If you do not agree, please do not use the App.
1. Eligibility
To use the App, you must:
- Be at least 19 years of age or the age of majority in your jurisdiction.
- Be a licensed healthcare professional (e.g., RN, RPN, Doctor of Social Work) or otherwise eligible to work in healthcare in Canada.
- Have the legal authority to enter into these Terms.
- Provide accurate, complete, and up-to-date information during onboarding, including professional qualifications, right-to-work documents, and bank account details.
2. Account Registration and Security
2.1. Account Creation
- You must create an account to use the App. Currently, account creation requires an email address and password via Clerk authentication. In the future, Google and Apple sign-in options may be available.
- You agree to provide accurate and complete information during registration, including your full name, address, profile photo, professional licenses, certifications, and other required documents.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
2.2. Account Security
- You must notify us immediately at support@carestream24.ca if you suspect unauthorized access to your account.
- We are not liable for any loss or damage arising from your failure to protect your account credentials.
3. Use of the App
3.1. Shift Management
- The App allows you to browse and apply for available shifts listed in the marketplace, submit timesheets, and track payment history.
- You agree to provide accurate information when applying for shifts and submitting timesheets.
- We reserve the right to verify your qualifications and eligibility for shifts, including through third-party services.
3.2. Location Verification
- The App collects GPS location data to verify your presence at shift locations during check-in and check-out. You consent to this data collection by enabling location permissions on your device.
- Location data is used solely for shift verification and is not shared for other purposes.
3.3. Communications
- The App sends One-Time Passwords (OTPs), voice calls, and push notifications for shift reminders and updates. You consent to receiving these communications by using the App.
- You may manage notification preferences in the App settings, subject to limitations required for core functionality (e.g., shift verification OTPs).
3.4. Prohibited Activities
You agree not to:
- Use the App for any unlawful or unauthorized purpose.
- Misrepresent your identity, qualifications, or eligibility to work.
- Attempt to access, modify, or disrupt the App’s systems, servers, or data.
- Use automated tools (e.g., bots, scrapers) to interact with the App.
- Reverse engineer, decompile, or disassemble the App.
- Share your account credentials with others or allow unauthorized access.
4. Payments
- Payment for Shifts: Payments for completed shifts are processed using the bank account details you provide during onboarding. You are responsible for ensuring the accuracy of your bank account information.
- Taxes and Fees: You are responsible for any taxes, fees, or deductions applicable to payments received through the App.
- Disputes: Any payment disputes must be reported to support@carestream24.ca within 30 days of the payment date. We will investigate and resolve disputes in good faith.
5. Intellectual Property
- Ownership: The App, including its design, code, content, and trademarks, is owned by Carestream 24 Inc. or its licensors. All rights are reserved.
- License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes, subject to these Terms.
- User Content: You retain ownership of content you submit (e.g., timesheets, documents). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process it to provide the App’s services.
6. Data and Privacy
- Data Hosting: All data, including our database, is hosted on secure Digital Ocean servers in Toronto, Canada.
- Analytics: We use Sentry and PostHog to collect anonymized data for performance monitoring and user behavior analysis.
- Privacy Policy: Your use of the App is subject to our Privacy Policy, which details how we collect, use, and protect your personal information. By using the App, you consent to our data practices as outlined in the Privacy Policy.
7. Third-Party Services
The App integrates with third-party services, including:
- Clerk for authentication.
- Payment gateways for processing payments.
- Communication services for OTPs, voice calls, and push notifications.
- Sentry and PostHog for analytics.
These services are subject to their own terms and privacy policies. We are not responsible for the practices of third-party providers, but we ensure they are contractually obligated to protect your data.
8. Termination
- By You: You may stop using the App and delete your account at any time by contacting support@carestream24.ca. Deletion is subject to legal retention requirements (e.g., payment records).
- By Us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion.
- Effect of Termination: Upon termination, your license to use the App ends, and you must cease all use. We may retain certain data as required by law.
9. Disclaimers and Limitation of Liability
9.1. Disclaimers
- The App is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
- We do not guarantee the availability, accuracy, or reliability of the App or the availability of shifts.
- You are responsible for verifying the suitability of shifts and complying with all applicable laws and regulations.
9.2. Limitation of Liability
- To the maximum extent permitted by law, Carestream 24 Inc., its affiliates, and their respective officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, even if advised of the possibility of such damages.
- Our total liability for any claim arising from these Terms or the App will not exceed the amount you paid us, if any, in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Carestream 24 Inc., its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the App, violation of these Terms, or infringement of any third-party rights.
11. Governing Law and Dispute Resolution
- Governing Law: These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles.
- Dispute Resolution: Any disputes arising from these Terms or the App will be resolved through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration in Toronto, Ontario, under the rules of the Canadian Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.
12. Changes to These Terms
We may update these Terms to reflect changes in our practices or legal requirements. We will notify you of significant changes by posting the updated Terms on our website and within the App. Your continued use of the App after such changes constitutes acceptance of the revised Terms.

14. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Carestream 24 Inc. regarding the App.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
By using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
